Simple Cap started with a spreadsheet that kept breaking.
I was in the middle of raising a Series A. Every conversation with a potential investor meant updating a cap table model โ adjusting the pre-money, adding a new investor line, tweaking the ESOP pool, then checking how it all flowed through to dilution. I'd copy a tab, rename it, change a few numbers, and inevitably break a formula three columns over.
I looked for a tool that could do this simply. Something where I could plug in a valuation, add investors, set an option pool, and just see what happens to ownership. No 45-minute onboarding. No annual contract. No sales call.
